During the process of starting a new company, the entrepreneur has to complete some paperwork in order to set up a legal entity such as a corporation or an LLC. Choosing the right legal entity for the business enterprise is critical so that the liability and taxation structure is set up correctly. When setting up a corporation, the business attorney can also help with the creation and distribution of shares of ownership. He can help create the definitions of each class of shares and help create the bylaws of the corporation as well.

The business attorney will make sure that the terms of the general business contract are legallly binding and are in the best interest of his client. 

Business lawyers also have to deal with the area of product liability from time to time. When a company comes up with a new product, it can lead to a large amount of potential liability. If a customer purchases the product and is injured by it somehow, it could lead to a lawsuit. It is up to the lawyer to make sure that product liability is minimized by warning customers appropriately before use. If a lawsuit is filed, the business lawyer will also represent the business in court. This means it's up to the lawyer to present the case to the best of his ability and minimize the legal settlement that will come out of the case.

In some cases, business lawyers also have to deal with discrimination cases. When a business is accused of discrimination, it may end up with a lawsuit as a result. A lawyer who focuses on general business may then need to represent the company or an individual from within the organization in court. The attorney may have to present evidence in court and then argue on behalf of the company. The ultimate goal is to eliminate the possibility of any discrimination having taken place and to minimize any legal settlements.
